Expanded Biography of Rebecca F. Emmons
Ms. Emmons has experience with all aspects of employee benefits, including: the design, qualification, compliance and drafting of retirement plans; implementation of plan terminations; correction of administrative and document errors pursuant with IRS procedures; representing delinquent form 5500 filers; and ERISA related litigation. She also provides advice and services with respect to employment agreements and her practice includes representation of clients in matters before the Internal Revenue Service and U.S. Department of Labor.
She also practices in the areas of real estate and business law. Ms. Emmons real estate practice includes: representation of buyers, sellers and builders in the purchase, sale and construction of real estate; service as closing agent and title insurance underwriter for all forms of real estate and lending transactions; representation of land developers in the creation of common development restrictions; preparation of home owner's association organizational documents; and ongoing representation of condominium and homeowners' associations. Her practice encompasses both residential and commercial transactions.
Her business law practice includes, general contract preparation and review; formation of new entities, including tax advice on the selection of form of entity; preparation of stockholder agreements and their equivalents; acquisitions and dispositions of businesses by asset and stock purchases; ongoing maintenance of corporate records and compliance; and functioning as outside general counsel to provide wide ranging and ongoing advice to business owners.
Ms. Emmons also represents and provides tax advice to many significant tax-exempt organizations in the Treasure Coast region, including the VNA charities, Harbor Branch Oceanographic Institute Foundation, and the Mardy Fish Foundation. Her primary focus is to help nonprofit clients secure and maintain their tax-exempt status under the Internal Revenue Code. An important part of her work with tax-exempt organizations involves their organizational form and structure. Her work includes the handling of applications to the IRS for tax-exempt status, securing letters of determination and responding to audits and inquiries. She also advises on the creation of 501(c)(3) organizations as public charities.
Ms. Emmons earned her B.A. in Social Science cum laude in 1996 from Clarion University of Pennsylvania, and her J.D. cum laude from Cleveland-Marshall College of Law in 1999 where she was a member of the Cleveland State Law Review and Chairperson of the school's award-winning and nationally recognized moot court team.
